Terms of Service

These Terms apply to the services provided by Practice Continuity Partners.

Business clients

Practice Continuity Partners is a trading name of iFabian Ltd. Our services are provided to dental, medical, veterinary and specialist clinic practices as business customers. We provide operational continuity planning, not clinical or legal advice. Where this document refers to households, homes or consumers, it applies only to our limited household service. These terms are being revised for business-to-business use and should be reviewed by a solicitor before launch.

By booking, purchasing or using our services, you ("you", "your", "customer") agree to these Terms.

Please read these Terms carefully before purchasing our services.

1. About our service

We provide household resilience assessment, planning, preparation, organisation and related support services.

Our services are designed to help households identify practical measures that may improve their ability to cope with temporary disruption, including circumstances such as:

  • power cuts;
  • water supply interruptions;
  • severe weather;
  • communications disruption;
  • temporary loss of heating;
  • temporary disruption to food or other supplies;
  • transport disruption;
  • temporary evacuation or loss of access to the home; and
  • other short-term household disruptions.

Our services are preparedness and planning services only.

We do not provide emergency response, emergency medical services, security services, policing, fire and rescue services, disaster response, engineering services, electrical services, gas services, structural services or professional medical advice unless expressly agreed in writing as a separate service.

2. Important nature of our service

Our services are intended to help you prepare for potential disruption.

They are not a guarantee of safety, continuity, availability of utilities, preservation of property, avoidance of loss, or protection from any particular event.

No household resilience plan can predict:

  • what event will occur;
  • whether an event will occur;
  • when an event will occur;
  • how long an event will last;
  • how severe an event will be;
  • how public authorities, utilities, emergency services or third parties will respond; or
  • whether the measures recommended will be sufficient in any particular circumstances.

You acknowledge that emergencies and unexpected events involve circumstances outside our control.

Our services therefore do not constitute a promise that you, your household, your property, possessions, vehicles or pets will remain safe or unaffected during an emergency.

3. Our services

Our services may include:

  • household resilience assessments;
  • remote or in-person consultations;
  • review of existing household equipment;
  • identification of potential resilience gaps;
  • preparation of household resilience plans;
  • recommendations concerning household supplies;
  • organisation of resilience equipment;
  • preparation of emergency or evacuation bags;
  • family briefings;
  • tabletop exercises or household resilience exercises;
  • periodic reviews;
  • supply of selected products;
  • procurement of products from third-party suppliers;
  • preparation of printed or digital household information; and
  • ongoing household resilience support.

The precise services included in your purchase will be those described on the relevant service page, quotation, booking confirmation or other written agreement.

4. Household resilience assessment

Our online assessment is a screening and planning tool.

The assessment:

  • relies on information provided by you;
  • may use automated calculations or rules;
  • is designed to identify practical areas for consideration;
  • does not constitute a professional safety inspection;
  • does not constitute a structural survey;
  • does not constitute an electrical inspection;
  • does not constitute a gas safety inspection;
  • does not constitute a fire risk assessment;
  • does not constitute a medical assessment;
  • does not constitute an insurance assessment; and
  • does not guarantee that every potential household risk has been identified.

The assessment score is an indicative planning score only.

It is not a scientifically validated measure of safety, survivability, household risk or future performance.

You should not rely solely on the assessment score when making decisions concerning your household.

5. Information provided by you

Our recommendations depend materially on the information you provide.

You are responsible for ensuring that information you provide is accurate and reasonably complete.

We are not responsible for consequences arising from:

  • inaccurate information;
  • incomplete information;
  • information that has changed since the assessment;
  • information that you reasonably should have known but did not disclose;
  • incorrect descriptions of existing equipment;
  • incorrect information about your household;
  • failure to tell us about relevant household circumstances; or
  • reliance on an assessment despite material circumstances having changed.

If you are unsure about an answer, you should tell us rather than guess.

6. Customer responsibility

You remain responsible for decisions concerning your household.

You are responsible for:

  • deciding whether to follow any recommendation;
  • deciding which products to purchase;
  • ensuring products are suitable for your household;
  • following manufacturer instructions;
  • maintaining and replacing equipment;
  • checking expiry dates;
  • checking batteries and power sources;
  • storing products appropriately;
  • ensuring food and water remain suitable for consumption;
  • ensuring children use equipment appropriately;
  • ensuring pets are appropriately cared for;
  • ensuring household members understand any emergency plan;
  • checking emergency information periodically; and
  • taking appropriate action during an actual emergency.

Our recommendations do not replace your own judgement.

7. No guarantee of outcome

We do not warrant or guarantee that our services will:

  • prevent an emergency;
  • prevent injury;
  • prevent illness;
  • prevent property damage;
  • prevent financial loss;
  • prevent loss of food;
  • maintain electricity;
  • maintain water;
  • maintain heating;
  • maintain telecommunications;
  • maintain internet access;
  • maintain transport;
  • enable evacuation;
  • preserve your possessions;
  • protect your home;
  • protect your vehicles;
  • protect your pets; or
  • produce any particular outcome during an emergency.

Any examples, scenarios, illustrations or projections provided by us are illustrative only unless expressly stated otherwise.

8. Emergency situations

Our services are not a substitute for following instructions from emergency services, local authorities, government bodies, utilities or other competent authorities.

During an emergency, you should follow official instructions and seek appropriate professional assistance where necessary.

If an emergency presents an immediate risk to life or serious injury, you should contact the appropriate emergency service.

We do not operate as an emergency response service and do not provide 24-hour emergency assistance unless a separate written service specifically states otherwise.

9. Products supplied by us

Where we supply physical products, those products may be sourced from manufacturers, distributors, retailers or other third-party suppliers.

Products may include, for example:

  • water storage equipment;
  • food;
  • torches;
  • radios;
  • batteries;
  • power banks;
  • portable power equipment;
  • first aid products;
  • hygiene products;
  • storage equipment;
  • household equipment;
  • vehicle equipment;
  • pet equipment; and
  • other preparedness products.

We may substitute a product with another product of equivalent or reasonably comparable functionality where the original product is unavailable, discontinued or materially delayed, provided this does not materially reduce the value of the service or product supplied.

10. Third-party products

Where products are manufactured by third parties, the manufacturer's instructions, warnings, limitations and warranty terms apply.

We do not manufacture most of the products we supply.

To the extent permitted by law, we are not responsible for defects, failures, incorrect instructions or other problems originating solely from a third-party manufacturer.

Nothing in these Terms affects your statutory rights concerning goods supplied to you.

Where appropriate, we may assist you in contacting the relevant manufacturer or supplier.

11. Product safety

You must read and follow all manufacturer's instructions and safety warnings before using any product.

You must not modify, misuse or use a product outside its intended purpose.

This is particularly important for:

  • electrical equipment;
  • batteries;
  • portable power stations;
  • generators;
  • fuel-burning equipment;
  • cooking equipment;
  • heating equipment;
  • fire safety equipment;
  • tools;
  • water treatment products; and
  • products intended for use by children.

We do not recommend using combustion equipment, generators, barbecues, camping stoves or similar equipment indoors unless the manufacturer expressly states that the equipment is designed and approved for such use.

12. Installation and set-up

Unless expressly included in your service, we do not provide professional installation of:

  • electrical equipment;
  • gas equipment;
  • plumbing;
  • heating systems;
  • permanent generators;
  • solar systems;
  • structural equipment;
  • fire alarm systems; or
  • other regulated or specialist systems.

Where professional installation is required, we may recommend that you use an appropriately qualified professional.

Where we physically organise or position products within your home, this does not constitute professional installation or certification.

You remain responsible for confirming that equipment is appropriately installed and used.

13. Home access

Where we provide an in-person service, you agree to provide safe and reasonable access to the relevant areas of your property.

You must tell us before the visit about any known:

  • hazards;
  • restricted areas;
  • dangerous conditions;
  • animals that may present a risk;
  • structural concerns;
  • access limitations; or
  • other circumstances that could reasonably affect the safety of our personnel.

We may refuse to enter or continue work in an area where we reasonably believe conditions are unsafe.

14. Property and existing equipment

We may review equipment already owned by you.

Unless expressly agreed otherwise, we do not:

  • certify existing equipment as safe;
  • guarantee its condition;
  • guarantee its remaining useful life;
  • repair defective equipment;
  • certify electrical equipment;
  • certify gas equipment;
  • inspect structural integrity; or
  • accept responsibility for equipment we did not manufacture.

Where we believe an existing product appears unsuitable, defective, damaged or potentially unsafe, we may recommend that you stop using it and seek appropriate professional advice.

15. Food and water

Where we recommend or supply food or water products, you remain responsible for:

  • checking expiry dates;
  • storing products appropriately;
  • rotating products;
  • following storage instructions;
  • checking packaging before consumption; and
  • disposing of products that are expired, damaged, contaminated or otherwise unsuitable.

Water storage recommendations are indicative and depend on household circumstances, available storage, weather, access to alternative supplies and other factors.

We do not guarantee the availability or potability of any water source.

16. Medical and health matters

Our services do not constitute medical advice.

We do not diagnose, treat or manage medical conditions.

We do not determine whether a person is medically fit to participate in an emergency plan, evacuation or activity.

You remain responsible for obtaining appropriate medical advice concerning:

  • medications;
  • medical equipment;
  • mobility;
  • dietary requirements;
  • allergies;
  • medical conditions;
  • emergency medical planning; and
  • any other health-related matter.

Where a household has medical or care requirements, we may recommend that you consult an appropriately qualified healthcare professional.

17. Children

Any equipment supplied for children must be used in accordance with the manufacturer's instructions and age restrictions.

Parents or guardians remain responsible for supervising children and determining whether any product or activity is appropriate for them.

We do not guarantee that a product is suitable for a particular child beyond the manufacturer's stated specifications.

18. Pets

Pet-related recommendations are general preparedness recommendations only.

They do not constitute veterinary advice.

You remain responsible for your pet's health, welfare, medication, food, transport and care.

Where appropriate, you should obtain advice from a qualified veterinary professional.

19. Vehicles

Vehicle-related recommendations are general preparedness recommendations only.

We do not provide:

  • vehicle engineering advice;
  • mechanical certification;
  • roadworthiness certification;
  • vehicle recovery;
  • breakdown assistance; or
  • guarantees concerning vehicle performance.

You remain responsible for ensuring that your vehicle is roadworthy, appropriately maintained, insured and legally compliant.

20. Electric vehicles and power systems

Where we discuss electric vehicles, batteries, portable power stations, solar equipment or other electrical systems, our information is general in nature unless expressly stated otherwise.

We do not guarantee:

  • battery capacity;
  • charging availability;
  • vehicle range;
  • power output;
  • backup duration;
  • compatibility;
  • bidirectional charging capability; or
  • suitability for powering a particular appliance or property.

You must follow the manufacturer's specifications.

You should obtain qualified electrical advice before connecting equipment to a domestic electrical installation or attempting any form of whole-home backup power arrangement.

21. Household plans

Any household emergency plan we prepare is based on information available to us at the time.

You are responsible for:

  • reviewing the plan;
  • updating contact details;
  • updating household information;
  • checking emergency arrangements;
  • ensuring household members understand the plan; and
  • reviewing the plan after material changes.

We recommend reviewing household plans periodically.

We are not responsible for changes occurring after the plan was prepared unless an updated review has been purchased and completed.

22. Family exercises and simulations

Where we provide household exercises or simulations, these are educational and planning exercises.

They are not emergency response training and do not guarantee that household members will respond correctly during a real emergency.

Participation is voluntary.

You remain responsible for deciding whether an exercise is appropriate for your household.

23. Pricing

Prices are displayed in pounds sterling unless otherwise stated.

Prices may be subject to VAT where applicable.

The price payable will be the price confirmed at the time of purchase.

Product prices may change between assessment and procurement.

Where procurement is included within a service, we may substitute products where necessary in accordance with section 9.

24. Quotations

A quotation is valid only for the period stated on the quotation.

Unless expressly stated otherwise, a quotation is not a guarantee that specific products will remain available at the quoted price.

A quotation becomes binding when accepted by you and confirmed by us.

Additional work or products requested after acceptance may be charged separately, subject to your agreement.

25. Payment

Payment must be made using the payment method specified at checkout or in your invoice.

We may require payment in full before commencing certain services.

For larger projects, we may agree staged payments.

If payment is not received when due, we may suspend work until payment is received.

Nothing in this section affects your statutory rights.

26. Cancellation and consumer rights

If you purchase our services as a consumer, you may have statutory cancellation rights under applicable UK consumer law, including rights relating to distance and off-premises contracts.

Where applicable, details of your cancellation rights will be provided to you before or at the time the contract is formed.

If you expressly request that a service begins during a statutory cancellation period, you may be required to pay for services actually supplied up to the point at which you cancel, subject to applicable law.

Where a service has been fully performed following your express request and acknowledgement of the consequences of requesting early performance, your statutory cancellation rights may cease where permitted by law.

Nothing in these Terms removes or reduces any cancellation right that cannot legally be excluded.

27. Cancellation by us

We may cancel or reschedule a service where:

  • we cannot reasonably provide the service;
  • required products are unavailable;
  • circumstances outside our reasonable control prevent performance;
  • the property presents a safety risk;
  • you have provided materially inaccurate information;
  • you fail to provide required access;
  • payment is overdue; or
  • continuing the service would be unlawful or inappropriate.

Where we cancel a service for reasons within our responsibility, we will provide any refund required by applicable law.

28. Delays

We are not responsible for delays caused by circumstances outside our reasonable control.

These may include:

  • supplier delays;
  • courier delays;
  • product shortages;
  • extreme weather;
  • transport disruption;
  • strikes;
  • utility failures;
  • government action;
  • public emergencies;
  • cyber incidents;
  • illness;
  • infrastructure failures;
  • acts of third parties; or
  • other events beyond our reasonable control.

Where a delay materially affects the service, we will communicate with you and take reasonable steps to minimise its effect.

29. Intellectual property

All intellectual property created by us remains our property unless expressly agreed otherwise.

This includes:

  • assessment methodology;
  • scoring methodology;
  • assessment questions;
  • recommendation logic;
  • household resilience frameworks;
  • checklists;
  • templates;
  • reports;
  • written materials;
  • training materials;
  • website content;
  • software;
  • branding; and
  • other proprietary materials.

You receive a personal, non-exclusive, non-transferable right to use materials supplied to you for your own household purposes.

You must not:

  • reproduce our methodology commercially;
  • resell our materials;
  • publish our proprietary materials;
  • copy our assessment;
  • reproduce our scoring system;
  • use our materials to create a competing commercial service; or
  • provide our proprietary materials to third parties for commercial use

…without our written permission.

30. Confidentiality

We will treat information you provide to us as confidential except where:

  • disclosure is required by law;
  • disclosure is necessary to provide the service;
  • disclosure is necessary to suppliers or contractors involved in delivering the service;
  • you have authorised disclosure; or
  • disclosure is necessary to protect our rights or comply with legal obligations.

31. Personal data

We process personal information in accordance with our Privacy Policy.

Our Privacy Policy explains:

  • what information we collect;
  • why we collect it;
  • how we use it;
  • who we may share it with;
  • how long we retain it; and
  • your rights concerning your personal data.

Our Privacy Policy forms part of our overall website documentation but does not replace these Terms.

32. Photographs and property information

Where you provide photographs, videos, measurements or descriptions of your property for the purposes of an assessment, you confirm that you have the right to provide that material to us.

We will use such information only for legitimate business purposes connected with providing our services, subject to our Privacy Policy.

33. Recommendations and third-party information

We may refer to information provided by:

  • government bodies;
  • public authorities;
  • utility companies;
  • manufacturers;
  • retailers;
  • recognised organisations;
  • industry sources; and
  • other third parties.

We take reasonable care when selecting information used in our services, but third-party information may change or become outdated.

We do not guarantee the continuing accuracy, availability or completeness of third-party information.

34. No professional certification

Unless expressly stated otherwise, our services do not constitute:

  • legal advice;
  • financial advice;
  • insurance advice;
  • medical advice;
  • veterinary advice;
  • engineering advice;
  • architectural advice;
  • structural advice;
  • electrical certification;
  • gas certification;
  • fire safety certification;
  • security certification; or
  • any other regulated professional service.

Where such advice is required, you should consult an appropriately qualified professional.

35. Our responsibility for services

We will provide our services with reasonable care and skill as required by applicable law.

Nothing in these Terms excludes or limits any liability or consumer right that cannot lawfully be excluded or limited.

Subject to that, we will not be responsible for losses that:

  • were not reasonably foreseeable when the contract was formed;
  • were not caused by our breach of contract or negligence;
  • result from information supplied incorrectly or incompletely by you;
  • result from your failure to follow reasonable instructions;
  • result from misuse of products;
  • result from third-party products or services, except where applicable law provides otherwise;
  • arise from circumstances outside our reasonable control; or
  • arise because you chose not to follow or implement recommendations.

36. Indirect and consequential loss

To the maximum extent permitted by applicable law, we will not be liable for indirect or consequential loss.

This may include, where legally recognised as indirect or consequential:

  • loss of profits;
  • loss of revenue;
  • loss of business;
  • loss of opportunity;
  • loss of anticipated savings;
  • loss of goodwill;
  • loss of reputation; or
  • business interruption.

This exclusion does not apply where such liability cannot legally be excluded.

37. Liability limitation

Nothing in these Terms excludes or limits liability for:

  • death or personal injury caused by our negligence;
  • fraud or fraudulent misrepresentation;
  • deliberate wrongdoing where liability cannot legally be excluded;
  • breach of rights that cannot legally be excluded or limited; or
  • any other liability that cannot legally be excluded or limited.

Subject to the above and applicable law, our liability will be limited to the losses that are reasonably foreseeable and directly caused by our breach of contract or negligence.

Where applicable law permits a financial limitation of liability, the maximum aggregate liability arising from a particular service will not exceed the total amount paid by you for that particular service, unless a different limit has been expressly agreed in writing.

This limitation does not apply where applicable law prohibits such a limitation.

38. Customer indemnity

You agree, to the extent permitted by law, to reimburse us for losses, costs or claims arising directly from:

  • your misuse of products;
  • your intentional or negligent damage to equipment;
  • your breach of these Terms;
  • your provision of materially false or misleading information; or
  • your unlawful use of products or services.

This clause does not apply to losses caused by our own negligence, breach of contract or other liability that cannot legally be transferred to you.

39. Third-party services

We may use third-party providers to assist with:

  • payment processing;
  • delivery;
  • product procurement;
  • software;
  • hosting;
  • communications;
  • scheduling;
  • printing;
  • fulfilment; and
  • other operational services.

We are not responsible for failures of third-party services to the extent that such failures are outside our reasonable control.

Where applicable, the third party's own terms may also apply.

40. Reviews and testimonials

Where we display customer reviews, testimonials or case studies, they represent the experiences of the individuals concerned.

Results vary between households.

No testimonial constitutes a guarantee of a particular outcome.

Any illustrative case study will be clearly identified as illustrative.

41. Website content

We aim to keep our website accurate and current.

However, we do not guarantee that:

  • all information is complete;
  • all information is current;
  • the website will always be available;
  • the website will be free from errors;
  • external links will remain available; or
  • all products will remain available.

Website content is provided for general information unless expressly stated otherwise.

42. Website availability

We may modify, suspend or discontinue parts of the website without notice where reasonably necessary.

We do not guarantee uninterrupted availability.

We will take reasonable steps to maintain website security and availability but cannot guarantee that the website will be free from:

  • viruses;
  • malware;
  • cyberattacks;
  • outages;
  • technical failures; or
  • unauthorised access.

You should maintain appropriate security on your own devices and accounts.

43. Changes to these Terms

We may update these Terms from time to time.

The version applicable to your purchase will normally be the version in force when your contract was formed.

Where changes are required by law or relate to future services, we may update these Terms by publishing the revised version on our website.

We will not use an amendment to retrospectively remove rights you have already acquired under a contract.

44. Complaints

If you are a consumer resident in another part of the United Kingdom, you may also have rights under the mandatory laws applicable in your place of residence.

Nothing in these Terms deprives you of protections that cannot legally be excluded.

47. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be modified or removed only to the extent necessary.

The remaining provisions will continue to apply.

48. No waiver

If we do not immediately enforce a provision of these Terms, this does not mean that we have waived our right to enforce it later.

49. Entire agreement

These Terms, together with:

  • your booking confirmation;
  • the applicable service description;
  • any agreed quotation;
  • our Privacy Policy; and
  • any other document expressly incorporated into the contract

form the agreement between you and us concerning the relevant service.

If there is a conflict between these Terms and a specific written quotation agreed with you, the specific quotation will take precedence to the extent of the conflict.
